We source a series of companies where the owner is looking to retire within 1-5 years, using this book as a lead magnet.

There are hundreds of buyers chasing most over 55-year-olds with a business over £1m, and this is a huge problem for anyone trying to acquire a business. We overcome this red ocean market by offering to help them exit well, rather than wishing to buy them. This marketing strategy cuts through the noise, landing you 50x as many meetings with potential sellers

Upon meeting the exiting owner, you assess their current business risks and value using our assessment tools.

The assessment will show the owner the considerable volume of issues and risks that would result in a down valuation and probably the inability to sell their business.

We discover what they need to achieve on an exit and ascertain the gap between their companies' (dire) position today and where it needs to be to achieve their goals.

We offer to acquire them in the future for an agreed amount, and that is often more than today's value. We do so using our Call Option agreement, but we need to fix the issues first.

You are engaged as a NED with the remit of fixing the issues so we can acquire them in circa 12 months. You quickly become their 'right-hand man', and you also become indispensable.

During this time, we also implement our ERP systems so we can later assimilate this business into the group. This will ensure the business is much easier to operate and easier to sell to others if we decide that we don't want it

Within 3 to 6 months, we take an equity stake of 20% to 30% for the work we have undertaken so far and the growth in value achieved. The value of the business would probably have increased by 50% or more, and they will now be dependent on our systems, your guidance and support.

After 12 to 18 months or so, we acquire all or a proportion of the rest of the equity we agreed upon within our Call Option agreement. The shares of which are owned in our JV holding company.

The acquisition is either 100% funded by the banks as an MBO, or we use a Secured Annuity Bond. Either way, we are not using your capital

If the company does not fit our Group model, we sell it to another buyer rather than acquiring it ourselves. We have 20% to 30% equity, and this results in a liquidity event typically valued at over £1m each business. We will probably have one of these per year.

We rinse and repeat this process until you are a NED in five companies. More if you can handle it, less if you can't.

We support and acquire each of these companies until we have a group with EBITDA over £5m, and we then sell to PE.

This process should take circa 3 years from the outset.

Selling a £5m EBITDA systemised group is often worth circa £50m+. Once we have paid off the debt (circa £10m) we are left with £40m, which you receive 50% of as our Equity Partner
